In addition to the issues addressed in the previous questions, the following issues need to be addressed:

The existence of State and Regional regulations that have an impact on the purchase and sale of NPLs, specifically:
- Specific legislation aimed at strengthening the protection of the debtor's rights and establishing a series of obligations to inform the debtor about the terms and conditions of the sale of the NPL.
- Depending on the Spanish Autonomous Region, the transfer of the mortgaged property in favour of a third party (after the purchase of the NPL) will be subject to a legal right of first refusal by the competent public administration.
If the NPL is litigious because there is an ongoing legal dispute affecting its existence or enforceability), the debtor can make use of the right of withdrawal within the legally established term in accordance with the provisions of article 1.535 of the Spanish Civil Code.

Consequently, the sale of the NPL would be void and the debtor would have to pay to the buyer of the NPL: (i) the same price for which it was purchased; (ii) the costs incurred by the buyer and; (iii) the interests on the purchase price accrued from the day it was paid by the buyer.
Following the sale, it is possible that certain clauses of the NPL may be declared null and void as abusive in accordance with consumer law application -mainly in cases where the debtor is an individual with a consumer profile. The impact of this would be twofold: it would affect both the quantification of the claimable debt and the continuity of the legal proceedings for claiming said debt that may be underway.
That the debtor may be insolvent at the date of purchase and sale of the NPL, or become insolvent after that date, circumstances for which the seller of the NPL will not be liable, without prejudice to the existence of the Mortgage Guarantee; and.
That legal proceedings involving the NPL entail costs and may take time.
That, in the event of awarding the mortgaged property by judicial auction or any other means permitted by law, the state of said property may differ from that described in the information available, and it may be necessary to initiate other procedures to obtain possession.
